Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

Nancy McCarthy, the Executive Vice President of Human Resources of PDI, Inc. (the “Company”) will be resigning from the Company, effective September 23, 2008, in order to pursue another career opportunity.  Effective immediately, Kathy Marsico, who has served as the Company’s Vice President of Human Resources since 2005, will be promoted to Senior Vice President of Human Resources, responsible for leading the Company’s Human Resources department.
