Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers. 

Effective December 9, 2005, Christopher Tama, Executive Vice President and General Manager of the PDI, Inc.’s (the “Company”) MD&D and Select Access businesses, resigned from his employment with the Company. On December 9, 2005, Nancy Connelly, Senior Vice President, General Manager, assumed responsibility for the Company’s Select Access business.
